5. Payment and Billing:
Payment Terms: The pricing for our Services is outlined in your service agreement or invoice. Payments are due as specified, and you agree to pay all fees associated with the Services promptly.
Late Payments: Any late payments may incur additional charges, including interest or late fees. If you fail to pay for Services rendered, Arckon Digital reserves the right to suspend or terminate the Services until payment is made.
Refund Policy: Refunds are handled on a case-by-case basis and will depend on the nature of the Service and the agreement made with the client.
6. Client Responsibilities:
You agree to provide all necessary information, resources, and cooperation required for Arckon Digital to effectively deliver the Services. This includes providing clear project objectives, content, and materials for development, as well as timely feedback and approvals.
Failure to provide the necessary input or delays in response may result in delays in the completion of the project.
7. Confidentiality and Data Protection:
Arckon Digital will take all necessary steps to ensure your data is kept confidential. We will not disclose or share your sensitive information to third parties without your express consent, except as required to fulfill the Services or as required by law.
We also comply with relevant data protection laws, such as the GDPR (General Data Protection Regulation) or other applicable regulations.

8. Intellectual Property:
Ownership of Deliverables: Upon full payment for the Services, you will own the final deliverables created for your project. This includes designs, websites, applications, and other custom creations. However, Arckon Digital retains ownership of pre-existing intellectual property used in the project (such as code libraries, frameworks, etc.) unless otherwise agreed upon.
License: You grant Arckon Digital a limited license to use your trademarks, logos, and other content for the purpose of completing the Services and for promotional purposes, including showcasing the work on our website or portfolio.
9. Warranty Disclaimer:
Arckon Digital does not guarantee that our Services will be error-free, uninterrupted, or meet your expectations in all cases. We strive to provide high-quality services, but we cannot warrant specific outcomes or performance results. Our liability is limited to the value of the Services rendered.
10. Limitation of Liability:
In no event will Arckon Digital be liable for any indirect, incidental, special, consequential, or punitive damages arising out of the use or inability to use our Services. This includes loss of profits, data, or business opportunities.
Our total liability under any circumstances is limited to the amount paid by you for the Services directly causing the claim, for a period not exceeding one year from the date the claim arose.
11. Termination:
Either party may terminate the agreement with written notice if the other party materially breaches the Terms. Upon termination, any outstanding payments for Services provided up to that point remain due. Termination will not affect your rights to ownership of final deliverables, subject to full payment.
Arckon Digital reserves the right to terminate Services immediately without notice for any violation of these Terms.
12. Force Majeure:
Neither Arckon Digital nor the client shall be liable for any failure or delay in performing their obligations under these Terms if such failure or delay is caused by unforeseen events beyond their reasonable control, including but not limited to natural disasters, acts of government, terrorism, or network outages.
13. Dispute Resolution:
Any disputes between Arckon Digital and the client shall be resolved through amicable discussions. If a resolution cannot be reached, disputes will be subject to arbitration or mediation in accordance with the applicable laws of Insert Jurisdiction.
14. Indemnification:
You agree to indemnify and hold harmless Arckon Digital, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Services, including any violation of these Terms, intellectual property infringements, or third-party claims.
15. Changes to These Terms:
Arckon Digital reserves the right to update or modify these Terms at any time. Any changes will be posted on our website and will be effective immediately. It is your responsibility to review these Terms periodically to stay informed about any updates.
